Raihana Az Zahra is an Associate at Nurjadin Sumono Mulyadi & Partners (NSMP). She joined the firm in 2022 and obtained her Bachelor of Laws from the Faculty of Law, Universitas Indonesia, where she concentrated in Civil Law.
Raihana’s practice spans dispute resolution, judgment enforcement, insolvency and restructuring, corporate transactions, capital markets, and regulatory advisory. She has assisted financial institutions, listed companies, private investors, and state-owned and regional government-owned enterprises in a range of contentious, transactional, and highly regulated matters.
Her dispute resolution experience includes assisting in civil disputes involving breach of contract and unlawful acts, as well as the enforcement of final and binding court judgments. She has been involved in various stages of enforcement proceedings, including aanmaning proceedings, applications for executorial attachment, and coordination between district courts with different territorial jurisdictions. She has also assisted clients in criminal investigations concerning alleged fraud, embezzlement, and document falsification through legal research, evidence review, case-strategy development, and the preparation of witnesses for examinations before various law enforcement authorities.
Raihana’s experience further encompasses arbitration and insolvency matters. She has assisted in the preparation of arbitration agreements, petitions for arbitration, arbitrator appointment documents, and related settlement documentation. She has also been involved in suspension of payment and bankruptcy proceedings from the perspectives of creditors, debtors, and administrators, including legal due diligence, settlement, and debt-restructuring workstreams. Her contentious practice also includes coordinating with clients, experts, and other relevant stakeholders in connection with court proceedings.
From August 2025 to February 2026, Raihana completed a client secondment at a leading Indonesian consumer-goods group, where she provided day-to-day legal support to the group and its subsidiaries operating in the retail, warehousing, and logistics sectors. During the secondment, she advised on commercial contracts, distribution arrangements, operational matters, and regulatory compliance. She was also involved in the legal aspects of large-scale brand activations, music festivals, concerts, and other events, including the review of related agreements, advertising and promotional materials, and music-royalty matters.
Her transactional and projects experience includes conducting legal due diligence for the proposed acquisitions of a hydropower project and an airport business entity, covering corporate matters, land rights, security interests, licences and permits, and material contracts. She has also assisted an Indonesian company with a land acquisition project, including the review of land titles and supporting technical documents, the identification of encumbrances, and the preparation of sale and purchase documentation. Her broader corporate practice includes drafting and reviewing shareholders agreements, management services agreements, letters of intent, conditional share subscription agreements, escrow agreements, and company regulations in connection with joint ventures and other corporate matters.
Raihana has also advised an Indonesian listed diagnostics and healthcare company on share buyback and stock split matters, including compliance with Financial Services Authority (OJK) and Indonesia Stock Exchange (IDX) requirements, disclosure obligations, implementation timelines, treasury-share limits, free-float requirements, and stock-exchange trading mechanics. In addition, she has prepared legal assessments concerning the proposed utilisation of health and laboratory data, covering personal data protection, medical confidentiality, anonymisation, consent, data-controller and data-processor roles, electronic-system requirements, licensing, contractual restrictions, and potential sanctions.
Her regulatory advisory experience further includes advising a regional government-owned enterprise on tariff-setting and the use of public cultural facilities, assessing competition-law risks arising from a proposed toll-manufacturing arrangement, and advising on sector-specific requirements relating to alcohol advertising and retail, music royalties, and the licensing and distribution of imported consumer products.
